association appel\u00e9e Pointe-Claire Amateur Athletic Association (P.C.A.A.A.) a \u00e9t\u00e9 cr\u00e9\u00e9e pour promouvoir le baseball et le football dans notre communaut\u00e9. De nombreux directeurs de l\u2019\u00e9poque \u00e9taient int\u00e9ress\u00e9s par le hockey, et en 1966, le Pointe-Claire Oldtimers Hockey Club Inc. a \u00e9t\u00e9 fond\u00e9 et la charte l\u00e9gale a \u00e9t\u00e9 publi\u00e9e le 27 septembre 1967.<\/p>\n<p>Seuls les prot\u00e8ge-tibias, les jock et les gants \u00e9taient autoris\u00e9s pour la protection.<br \/>\nLes pantalons de surv\u00eatement gris \u00e9taient \u00e0 l\u2019ordre du jour.<br \/>\nPas de lancer-tir\u00e9 au-dessus des genoux.<\/p>\n<p>Notre organisation a \u00e9t\u00e9 et continue d\u2019\u00eatre compos\u00e9e de personnes de tous les horizons ; des \u00e9chevins aux hommes d\u2019affaires, m\u00e9decins, entrepreneurs, ouvriers d\u2019usine, pompiers, avocats, maires, gens des m\u00e9dias, morticiens, policiers, pr\u00eatres, imprimeurs, enseignants et retrait\u00e9s pour n\u2019en nommer que quelques-uns.<\/p>\n<p>Notre d\u00e9fi et notre engagement restent la perp\u00e9tuation des d\u2019\u00e9viter les blessures r\u00e9sultant d\u2019un jeu difficile. Nous devons \u00e9galement faire preuve de plus de respect pour nos arbitres b\u00e9n\u00e9voles. Il a donc \u00e9t\u00e9 d\u00e9cid\u00e9 qu\u2019afin de mieux faire face \u00e0 ces situations, les changements de r\u00e8gles suivants s\u2019appliqueront :<\/p>\n<p><strong>Jeu rugeux et rudesse:<\/strong><\/p>\n<p>Les membres appel\u00e9s \u00e0 des p\u00e9nalit\u00e9s pour un jeu rugeux avec l\u2019intention de blesser ou un comportement dangereux sur glace, recevront une p\u00e9nalit\u00e9 de 5 minutes, avec une p\u00e9nalit\u00e9 de match automatique : la p\u00e9nalit\u00e9 de 5 minutes sera servie par un autre membre de l\u2019\u00e9quipe qui \u00e9tait sur la glace au moment de la p\u00e9nalit\u00e9. Une premi\u00e8re infraction entra\u00eenera une suspension automatique d\u2019au moins 2 matchs (ou peut-\u00eatre plus apr\u00e8s une r\u00e9vision du comit\u00e9 disciplinaire). Le joueur p\u00e9nalis\u00e9 ne sera autoris\u00e9 pr\u00e8s du banc tant et aussi longtemps que sa suspension ne soit pas servie.<\/p>\n<p>Un d\u00e9linquant pour la deuxi\u00e8me fois recevra la p\u00e9nalit\u00e9 de 5 minutes et de match, servie comme ci-dessus, plus une suspension automatique d\u2019au moins 5 matchs (ou peut-\u00eatre plus apr\u00e8s une r\u00e9vision du comit\u00e9 disciplinaire). Le joueur p\u00e9nalis\u00e9 ne sera pas autoris\u00e9 pr\u00e8s du banc avant que ses p\u00e9nalit\u00e9s ne soient servies.<\/p>\n<p>Une troisi\u00e8me infraction entra\u00eenera une p\u00e9nalit\u00e9 de 5 minutes et de match, servie comme ci-dessus. L\u2019enregistrement du joueur sera soumise \u00e0 l\u2019examen du conseil d\u2019administration, car les joueurs ayant un tel comportement pourraient \u00eatre consid\u00e9r\u00e9s comme ind\u00e9sirables et pourraient faire l\u2019objet d\u2019une expulsion permanente du club.<\/p>\n<p><strong>Abus verbal ou autre des arbitres :<\/strong><\/p>\n<p>Si un joueur se dispute avec un arbitre ou marqueur :<br \/>\nPremi\u00e8re \u00e9tape : Deuxi\u00e8me \u00e9tape : Troisi\u00e8me \u00e9tape :<br \/>\nUn avertissement.<br \/>\nP\u00e9nalit\u00e9 de deux minutes. Expulsion du jeu.<br \/>\nSi un joueur passe \u00e0 la troisi\u00e8me \u00e9tape :<br \/>\n1\u00e8re infraction :<br \/>\n2e infraction :<br \/>\n3e infraction.<br \/>\nann\u00e9e.<br \/>\n*Ceux-ci sont report\u00e9s \u00e0 l\u2019ann\u00e9e suivante.<\/p>\n<p><strong>Examen total des minutes de p\u00e9nalit\u00e9 :<\/strong><\/p>\n<p>Les joueurs atteignant un total de 15 minutes de p\u00e9nalit\u00e9 au cours de l\u2019ann\u00e9e (y compris tous les matchs, la ligue et les s\u00e9ries \u00e9liminatoires) auront leur situation evalu\u00e9 par le comit\u00e9 ex\u00e9cutif. Une deuxi\u00e8me r\u00e9vision aura lieu au niveau des 25 minutes de p\u00e9nalit\u00e9. Ces deux r\u00e9vision resulteront \u00e0 une d\u00e9cision du comit\u00e9 ex\u00e9cutif concernant d\u2019autres mesures.<\/p>\n<p>Afin de mieux nous pr\u00e9parer \u00e0 notre objectif de bonne conduite sportive, on a demand\u00e9 aux capitaines et aux entra\u00eeneurs d\u2019\u00e9quipe \u00e0 ce qu\u2019ils jouent un r\u00f4le cl\u00e9 de leadership exemplaire. Les arbitres b\u00e9n\u00e9voles recevront une session de formation pour mieux comprendre les r\u00e8gles et les attentes quant \u00e0 la fa\u00e7on de les appliquer match apr\u00e8s match.<\/p>\n<p>Les membres qui sont t\u00e9moins d\u2019incidents de jeux rugeux et de rudesse sur la glace (non vus par nos arbitres) doivent en faire rapport au comit\u00e9 disciplinaire par \u00e9crit dans un d\u00e9lai de 5 jours pour un examen appropri\u00e9.<\/p>\n<p>Processus d\u2019appel aux suspensions, se r\u00e9f\u00e9rer \u00e0 la r\u00e8gle 4 du PCOT<\/p>\n<\/div><\/div><\/div><div class=\"fusion-panel panel-default panel-a26b96b7525d5671e fusion-toggle-has-divider\" style=\"--awb-title-color:var(--awb-color8);\"><div class=\"panel-heading\"><h4 class=\"panel-title toggle\" id=\"toggle_a26b96b7525d5671e\"><a aria-expanded=\"false\" aria-controls=\"a26b96b7525d5671e\" role=\"button\" data-toggle=\"collapse\" data-parent=\"#accordion-2217-1\" data-target=\"#a26b96b7525d5671e\" href=\"#a26b96b7525d5671e\"><span class=\"fusion-toggle-icon-wrapper\" aria-hidden=\"true\"><i class=\"fa-fusion-box active-icon awb-icon-minus\" aria-hidden=\"true\"><\/i><i class=\"fa-fusion-box inactive-icon awb-icon-plus\" aria-hidden=\"true\"><\/i><\/span><span class=\"fusion-toggle-heading\">Leave of Absence<\/span><\/a><\/h4><\/div><div id=\"a26b96b7525d5671e\" class=\"panel-collapse collapse \" aria-labelledby=\"toggle_a26b96b7525d5671e\"><div class=\"panel-body toggle-content fusion-clearfix\">\n<p>Leave of Absence Policy<br \/>\n1. The Board of Directors may grant a leave of absence to any permanent regular member only, pursuant to a written request submitted to the membership convenor, duly signed and dated by the member.<\/p>\n<p>2. A leave of absence shall normally be for a full year or a half-year and shall be granted for reasons of health or injury; family or personal; and job related or financial. The Board may, from time to time, consider other reasons.<\/p>\n<p>3. In exceptional circumstances, a second consecutive full year LOA may be granted upon receipt of a second letter of application. Depending on the reason given, this LOA extension may or may not be granted. The decision of the Board is final.<\/p>\n<p>4. No requests for a third consecutive full year LOA will be considered.<\/p>\n<p>5. A member on a leave of absence, wishing to participate and fit to play, may request in writing, to be included on the active spare list until the expiration of his LOA.<\/p>\n<p>6. All players on a LOA are required to pay an annual registration fee equal to the registration fee paid by spares on the waiting list.<\/p>\n<p>7. A refund of fees will only be made to members granted a LOA where more than 6 games remain paid in advance, based upon the date of the request for the leave.<\/p>\n<p>8. A member who wishes to return before the end of the LOA must submit a letter to the board stating his intentions. The Board of Directors and your Executive entirely support all decisions of our volunteer referees, who have been engaged to enhance the enjoyment of each player in the league and lessen the chance of injury. Players are expected to be courteous to the referees and respectful of the support they provide our club.<\/p>\n<p>2. Any member of the club who feels strongly about other members not adhering to the rules is requested to present his complaints to the executive.<\/p>\n<p>3. The Board of Directors has empowered the Discipline committee to rule on all games, tournaments, and exchanges in which players and coaches participate as members of P.C.O.T. Members of the executive should not be on the discipline committee (ref 4.8)<\/p>\n<p>4. The playing rules of the P.C.O.T. will be those of the Official Rule Book of the Canadian Adult Recreational Hockey Association (C.A.R.H.A.) with the following modifications and additions:<\/p>\n<p>4.1 In accordance with the regulations of the Quebec Sports Safety Board (C. 5-3.1, a. 55, par.3), each player must wear a helmet and full-face protector approved by the Canadian Standards Association, and an approved neck protector.<\/p>\n<p>4.2 Modification of rule 16(a): A team must have nine (9) players (which includes the goaler) dressed and on the bench by the end of the first period, otherwise the game will be defaulted by the team short-handed. If both teams default no points will be awarded.<\/p>\n<p>4.3 To start a two-period game, teams will defend the zones on the opposite ends of the rink from their benches.<\/p>\n<p>4.4 Modification of rule 27(a): The duration of minor, major and misconduct penalties shall be two (2), five (5), and ten (10) minutes respectively, regardless as to whether the clock is operating on stop time or straight (running) time.<\/p>\n<p>4.5 If there is a one-goal difference in the score, or if the score is tied, the final minute of play shall be stop-time.<\/p>\n<p>4.6 A full report of any undesirable incident is to be made by the referees on the score sheet and given to the president immediately after the game.<\/p>\n<p>4.7 Players under suspension cannot play in any hockey activity organised by the PCOT. Suspensions must be served by sitting out regular season games.<\/p>\n<p>4.8 Players may appeal a suspension through the following process: A presentation in writing to the executive committee within five days of receiving the suspension. The document presented must explain what evidence or procedures were overlooked in coming to the original suspension, and why the evidence or lack of procedure would affect the suspension given. Rules governing the appeal committee will be as reported in the minutes of May 8th 1991.<\/p>\n<p>4.9 Modification of Rule 39B: Calling of penalties: If both teams are playing even, and the referee calls a delayed minor penalty against a player and a goal is scored, the player will serve the penalty, however his team will not have to play short handed.<\/p>\n<p>4.10. Modification of Rule 49: Boarding and body contact: Non-application of paragraph B, which states that a double minor penalty must be assessed against a player who causes an opponent to collide with the boards.<\/p>\n<p>4.11. Modification of rule 64: Icing the puck: Stoppage of play will be avoided, if possible, by allowing the defending team to obtain the blue line before pressuring the puck carrier. Failure to do this will result in a stoppage of play and a face-off in the offending team\u2019s end. Repeated ignoring of the efforts to speed up the game will result in a delay of game penalty. If the goalie makes an attempt to leave his crease to handle the puck, whether he touches the puck or not, the icing is immediately waved off and play will continue. During stop time at the end of a game, the regular icing rule is in effect.<\/p>\n<p>4.12. Rule 24F: (page 27 of the Carha official rule book): If either a player or a referee loses his helmet on the ice during play, the play shall be whistled dead immediately, and the faceoff shall be Spares are not considered permanent members.<\/p>\n<p><strong>Article 4 (A)<\/strong>\u00a0\u2013 Permanent members, in good standing for a period of seven (7) consecutive years, who move out of Pointe Claire and are unable to participate because of location, may upon their return, receive preference on the waiting list if they reside in Pointe Claire.<\/p>\n<p><strong>Article 4 (B)<\/strong>\u00a0\u2013 All playing members must declare their intention of remaining as such before the annual draft meeting. Any member failing to do so and who wishes to play again at later date will have his name placed at the bottom of the waiting list.<\/p>\n<p><strong>Article 5<\/strong>\u00a0\u2013 All persons desiring membership shall be required to sign an application form prescribed by the Board of Directors, containing such affirmations and undertakings as are deemed appropriate.<\/p>\n<p><strong>Article 6<\/strong>\u00a0\u2013 Applications may be refused by the directors without the necessity of giving or recording reasons. The membership rights of the applicant shall come into existence upon approval by the Board of Directors.<\/p>\n<p><strong>Article 7<\/strong>\u00a0\u2013 There shall be five (5) categories of members: permanent members, waiting list members (spares), permanent spares, associate members and life members.<\/p>\n<p>A permanent member is considered to be a person who is not considered a waiting list or associate member. Names of waiting list members shall be placed on a list prepared by the Membership Convenor in order of seniority.<\/p>\n<p>An Associate member is a former permanent member who wishes to be associated with the club. Associate members have no special privileges and are exempt from paying dues. An associate member who later wishes to return as a permanent member must file an application and become a waiting list member until he is accepted as a permanent member.<\/p>\n<p>A life member is a former permanent member in good standing who requests to be considered for a ?lifetime membership?. This request must be approved by the Board of Directors. If a runoff vote is required, it shall be between the two people polling the highest number of votes in the previous ballot.<\/p>\n<p><strong>Article 4<\/strong>\u00a0\u2013 Qualification and Term of Office of Directors<\/p>\n<p>Each Director shall (except as herein otherwise provided) be elected at the annual general meeting of members by a majority of the votes cast in respect of such election. Each Director so elected shall hold office until the election of his successor, unless he shall resign or his office become vacant by death, removal, or other cause. A quorum shall be twenty (20) permanent members.<\/p>\n<p>The Directors of the Corporation shall appoint a nominating committee by April first of each year, consisting of the chairman and four (4) permanent members to present a list of candidates by April 15th of each year for election to office for the following year. This slate of nominations shall be submitted to each member at least 15 days prior to the annual general meeting. Further nominations may be made provided they are made in writing by five (5) permanent members in good standing be in the hands of the Secretary at least three (3) days prior to the annual general meeting.<\/p>\n<p><strong>Article 2<\/strong>\u00a0\u2013 A special general meeting of members may be called by the President, the Board of Directors, or at the written request of ten (10) permanent members of the Corporation. At such meeting, no other business than that specified in the notice shall be transacted.<\/p>\n<p><strong>Article 3<\/strong>\u00a0\u2013 Fifteen (15) days clear notice shall be given to each member of such special general meeting, such notice being given by mail or in person to each permanent member.<\/p>\n<p><strong>Article 4<\/strong>\u00a0\u2013 A quorum at all special general meetings of the Corporation shall be thirty (30) permanent members. Article 5 \u2013 A quorum at all meetings of the Board of Directors shall be ten (10) Directors.<\/p>\n<p><strong>Article 6<\/strong>\u00a0\u2013 Meetings of the Directors shall be held at such times and places as may be determined by the Directors with a minimum of one meeting per month from August 1st to May 31st. At least one week\u2019s notice shall be given of all meetings of the Directors unless such notice is waived by all of the Directors.<\/p>\n<p><strong>Article 7<\/strong>\u00a0\u2013 At annual or special general meetings, each member present except the Chairman shall have one vote, and in the event of a tie, the Chairman shall have the deciding vote.<\/p>\n<p>At meetings of the Directors, each Director present, except the chairman, shall have one vote. In the event of a tie, the Chairman shall have the deciding vote.<\/p>\n<p>The President shall act as Chairman of all meetings and in his absence, a vice president designated by the President to act as such during the period in question, shall occupy the Chair. If the President does not designate a replacement, the Directors will assume the responsibility of nominating a Chairman.<\/p>\n<p><strong>Article 8<\/strong>\u00a0\u2013 The President shall appoint such special committees as he considers necessary at any time. On the majority vote of the permanent members present at any meeting, he shall appoint committees as they direct.<\/p>\n<\/div><div class=\"nav fusion-mobile-tab-nav\"><ul class=\"nav-tabs nav-justified\" role=\"tablist\"><li role=\"presentation\"><a class=\"tab-link\" data-toggle=\"tab\" role=\"tab\" aria-controls=\"tab-0a7267ba88104ff487f\" aria-selected=\"false\" tabindex=\"-1\" id=\"mobile-fusion-tab-by-law6\" href=\"#tab-0a7267ba88104ff487f\"><h4 class=\"fusion-tab-heading\">By-Law 6<\/h4><\/a><\/li><\/ul><\/div><div class=\"tab-pane fade fusion-clearfix\" role=\"tabpanel\" tabindex=\"0\" aria-labelledby=\"fusion-tab-by-law6\" id=\"tab-0a7267ba88104ff487f\">\n<div class=\"page\" title=\"Page 3\">\n<div class=\"layoutArea\">\n<div class=\"column\">\n<p><strong>Article 1<\/strong>\u00a0\u2013 Amendments to the Constitution<\/p>\n<p>Proposed amendments to the Constitution must be presented to the Secretary in writing, signed by 10 permanent members of the Corporation in good standing, thirty (30) days prior to a special general meeting. Such amendments must be circulated to all members at least fifteen (15) days in advance of the special general meeting. In order for an amendment to be presented at a special general meeting, at least thirty (30) permanent members must be in attendance and in order for an amendment to be passed, it must receive the assent of at least two-thirds (67%) of the permanent members present.<\/p>\n<\/div>\n<\/div>\n<\/div>\n<div class=\"page\" title=\"Page 4\">\n<div class=\"layoutArea\">\n<div class=\"column\">\n<p><strong>Article 2<\/strong>\u00a0\u2013 Enactment, Repeal and Amendment of By-Laws<\/p>\n<\/div>\n<\/div>\n<div class=\"layoutArea\">\n<div class=\"column\">\n<p>The Board of Directors may, from time to time, enact or pass By-Laws not contrary to law or to the charter of the Corporation, and may repeal, amend or re-enact bylaws of the Corporation, but every such by law (excepting bylaws made respecting agents and servants of the Corporation and such bylaws as the provisions of the laws governing the Corporation require to be sanctioned, approved, or confirmed by the members before becoming effective) and every re-amendment or re-enactment thereof unless in the meantime sanctioned at the special general meeting of the members of the Corporation duly called for that purpose, shall have force only until the next annual general meeting of the members of Corporation and in default of confirmation thereat shall, at and from that time only, cease to be in force.<\/p>\n<\/div>\n<\/div>\n<\/div>\n<\/div><div class=\"nav fusion-mobile-tab-nav\"><ul class=\"nav-tabs nav-justified\" role=\"tablist\"><li role=\"presentation\"><a class=\"tab-link\" data-toggle=\"tab\" role=\"tab\" aria-controls=\"tab-78005993720847f9eff\" aria-selected=\"false\" tabindex=\"-1\" id=\"mobile-fusion-tab-by-law7\" href=\"#tab-78005993720847f9eff\"><h4 class=\"fusion-tab-heading\">By-Law 7<\/h4><\/a><\/li><\/ul><\/div><div class=\"tab-pane fade fusion-clearfix\" role=\"tabpanel\" tabindex=\"0\" aria-labelledby=\"fusion-tab-by-law7\" id=\"tab-78005993720847f9eff\">\n<div class=\"page\" title=\"Page 4\">\n<div class=\"layoutArea\">\n<div class=\"column\">\n<p><strong>Article 1<\/strong>\u00a0\u2013 Officers<\/p>\n<p>The executive officers of the Corporation shall be the President, two (2) vice-presidents, a Secretary, and a treasurer. They shall be elected from and by the Board of Directors at the first meeting of the Directors held after the annual general meeting of the members. The Board of Directors may also elect or appoint at anytime, and from time to time, such other officers or executive officers as the Board of Directors may deem expedient. All officers and executive officers of the Corporation shall hold office until their successors are chosen, subject always to removal as provided in the bylaws of Corporation. All officers and executive officers shall respectively perform such duties in addition to those specified in the bylaws of the Corporation, as shall from time to time be prescribed by the Board of Directors. The same person may hold more than one office, provided however that the offices of the President and vice-President shall not be held by the same person.<\/p>\n<p><strong>Article 2<\/strong>\u00a0\u2013 President<\/p>\n<p>The President shall be chosen from the Directors of the previous year. He shall preside as Chairman at all meetings of the members and all meetings of the Board of Directors. He shall be the Chief Executive Officer of the Corporation and if no general manager or managing-Director is appointed, shall exercise a general control and supervision over its affairs. He shall be responsible with the executive officers for the preparation and presentation of the annual corporate budget.<\/p>\n<p><strong>Article 3<\/strong>\u00a0\u2013 Vice-Presidents<\/p>\n<p>The Vice-Presidents shall have such powers and duties as may be assigned to them by resolution of the Board of Directors. In case of the absence or disability of the President, one of the Vice-Presidents may exercise the powers and perform the duties of the President and, is such Vice-President shall exercise any of the powers or perform any of the duties of the President, the absence or disability of the President shall be presumed.<\/p>\n<p><strong>Article 4<\/strong>\u00a0\u2013 Treasurer<\/p>\n<p>The Treasurer shall have general charge of the finances of the Corporation. He shall deposit all funds and other valuable effects of the Corporation in the name and to the credit of the Corporation in such banks or other depositories as the Board of Directors may from time to time designate by resolution or which the Board of Directors may authorize him to designate, He shall also render to the Board of Directors on a quarterly basis (or whenever he is directed by the Board of Directors), an account of the financial condition of the corporation compared to the budget as soon as possible after the close of each financial year he shall make and submit to the Board of Directors a like report for such financial year. He shall have charge and custody of and be responsible for the keeping of the books of account required to be kept pursuant to the laws governing the Corporation. The Treasurer shall advise the President of any members who are delinquent in payment of their duties. He shall perform such other duties as pertain to his office of Treasurer or as may be required by the Board of Directors.<\/p>\n<p><strong>Article 5<\/strong>\u00a0\u2013 Secretary<\/p>\n<p>The Secretary shall attend to the service of all notices of the Corporation and shall keep the minutes of all meetings of the Corporation and the Board of Directors in a book or books to be for that purpose. He shall keep in safe custody the corporate seal of the Corporation. He shall have charge of records of the Corporation<\/p>\n<\/div>\n<\/div>\n<\/div>\n<div class=\"page\" title=\"Page 5\">\n<div class=\"layoutArea\">\n<div class=\"column\">\n<p>including books containing the names and addresses of the members and directors of the Corporation, together with copies of all reports made by the Corporation and such other books and papers as the Board of Directors may direct. He shall be responsible for keeping and filing all books, reports, and other documents required by law to be kept and filed by the Corporation. He shall perform other such duties as pertain to his office of Secretary, or as he may be required by the Board of Directors.<\/p>\n<p><strong>Article 6<\/strong>\u00a0\u2013 Secretary-Treasurer<br \/>\nWhenever the Secretary shall also be the Treasurer, he may be designated as the \u201cSecretary-Treasurer\u201d. Article 7 \u2013 General-Manager or Managing-Director<\/p>\n<p>The Directors may appoint, from time to time, a general manager of the Corporation. He shall manage the affairs of the Corporation and shall exercise such powers as may be prescribed, from time to time, by resolution of the Board of Directors, and such authority may be either general or specific.<\/p>\n<p><strong>Article 8<\/strong>\u00a0\u2013 Membership Convenor<\/p>\n<p>A Membership Convenor shall be appointed by the Board of Directors. The Convenor shall ensure that each permanent member and waiting list member from the previous year is contacted, and a complete list of eligible players is available for the annual draft meeting. He shall be responsible for keeping an up-to-date list of permanent members, waiting list members, and associate members. During the month of October he will prepare a list of the above members containing their names, addresses, phone numbers, and name of wife or consort. The Convenor shall also be responsible for obtaining a signed form from each permanent member, each waiting list member, coaches and referees, before the aforementioned participate in any games, which removes liability to the Club in the event of injury or disability.<\/p>\n<\/div>\n<\/div>\n<\/div>\n<\/div><div class=\"nav fusion-mobile-tab-nav\"><ul class=\"nav-tabs nav-justified\" role=\"tablist\"><li role=\"presentation\"><a class=\"tab-link\" data-toggle=\"tab\" role=\"tab\" aria-controls=\"tab-888bb7c5ff743fed451\" aria-selected=\"false\" tabindex=\"-1\" id=\"mobile-fusion-tab-by-law8\" href=\"#tab-888bb7c5ff743fed451\"><h4 class=\"fusion-tab-heading\">By-Law 8<\/h4><\/a><\/li><\/ul><\/div><div class=\"tab-pane fade fusion-clearfix\" role=\"tabpanel\" tabindex=\"0\" aria-labelledby=\"fusion-tab-by-law8\" id=\"tab-888bb7c5ff743fed451\">\n<p><strong>Article 1<\/strong>\u00a0\u2013 Dues and Fees<\/p>\n<p>The Directors shall fix and determine from time to time, by resolution, the annual dues and fees payable by all members of the Corporation and shall also fix the dates at which dues or fees are required to be paid.<\/p>\n<p><strong>Article 2<\/strong>\u00a0\u2013 Any member of the Corporation whose annual dues are not paid within the period set forth by the Directors, may be suspended by the Directors from the privileges of membership.<\/p>\n<\/div><div class=\"nav fusion-mobile-tab-nav\"><ul class=\"nav-tabs nav-justified\" role=\"tablist\"><li role=\"presentation\"><a class=\"tab-link\" data-toggle=\"tab\" role=\"tab\" aria-controls=\"tab-2b3133fbf87e828e6f6\" aria-selected=\"false\" tabindex=\"-1\" id=\"mobile-fusion-tab-by-law9\" href=\"#tab-2b3133fbf87e828e6f6\"><h4 class=\"fusion-tab-heading\">By-Law 9<\/h4><\/a><\/li><\/ul><\/div><div class=\"tab-pane fade fusion-clearfix\" role=\"tabpanel\" tabindex=\"0\" aria-labelledby=\"fusion-tab-by-law9\" id=\"tab-2b3133fbf87e828e6f6\">\n<p><strong>Article 1<\/strong>\u00a0\u2013 The funds of the Corporation shall be deposited by the Treasurer in such banks or other depositories approved by the Directors and shall be credited to the account of the Corporation.<\/p>\n<p><strong>Article 2<\/strong>\u00a0\u2013 All cheques, drafts, or orders for payment of money and all other notes and acceptances and bills of exchange shall be approved by the Treasurer, or in his absence, the President, and paid by the Corporation. Such payments require the signature of two (2) signing officers.<\/p>\n<p><strong>Article 3<\/strong>\u00a0\u2013 Books of the Corporation will be audited annually by one auditor appointed by the members. Article 4 \u2013 Remuneration of the employees of the Corporation shall be determined by the Directors.<\/p>\n<\/div><div class=\"nav fusion-mobile-tab-nav\"><ul class=\"nav-tabs nav-justified\" role=\"tablist\"><li role=\"presentation\"><a class=\"tab-link\" data-toggle=\"tab\" role=\"tab\" aria-controls=\"tab-228d98579fd8d8aecce\" aria-selected=\"false\" tabindex=\"-1\" id=\"mobile-fusion-tab-by-law10\" href=\"#tab-228d98579fd8d8aecce\"><h4 class=\"fusion-tab-heading\">By-Law 10<\/h4><\/a><\/li><\/ul><\/div><div class=\"tab-pane fade fusion-clearfix\" role=\"tabpanel\" tabindex=\"0\" aria-labelledby=\"fusion-tab-by-law10\" id=\"tab-228d98579fd8d8aecce\">\n<div class=\"page\" title=\"Page 5\">\n<div class=\"layoutArea\">\n<div class=\"column\">\n<p><strong>Article 1<\/strong>\u00a0\u2013 Declarations<\/p>\n<p>The President, any Vice-President, Treasurer, Secretary, Secretary-Treasurer, General Manager, Managing Director or any other officer or person nominated for the purpose by the President or any Vice-President are, and any one of them is, authorized and empowered to approve and make answer for, on behalf of and in the name of the Corporation, to all writs of attachment by way of garnishment in which the Corporation is garnishee and to make all affidavits and sworn declarations in connection therewith or in connection with any<\/p>\n<\/div>\n<\/div>\n<\/div>\n<div class=\"page\" title=\"Page 6\">\n<div class=\"layoutArea\">\n<div class=\"column\">\n<p>and all judicial proceedings to which the Corporation is a party and to sue any debtor and grant proxies in connection therewith.<\/p>\n<\/div>\n<\/div>\n<\/div>\n<\/div><div class=\"nav fusion-mobile-tab-nav\"><ul class=\"nav-tabs nav-justified\" role=\"tablist\"><li role=\"presentation\"><a class=\"tab-link\" data-toggle=\"tab\" role=\"tab\" aria-controls=\"tab-b603c43e31e6533f73e\" aria-selected=\"false\" tabindex=\"-1\" id=\"mobile-fusion-tab-by-law11\" href=\"#tab-b603c43e31e6533f73e\"><h4 class=\"fusion-tab-heading\">By-Law 11<\/h4><\/a><\/li><\/ul><\/div><div class=\"tab-pane fade fusion-clearfix\" role=\"tabpanel\" tabindex=\"0\" aria-labelledby=\"fusion-tab-by-law11\" id=\"tab-b603c43e31e6533f73e\">\n<p><strong>Article 1<\/strong>\u00a0\u2013 Indemnification of Directors and Officers<\/p>\n<p>Every Director and officer of the Corporation, his heirs, executors, and administrators, estate and effects, respectively shall be indemnified and saved harmless out of the funds of the Corporation, from time to time and at all times, from and against:<\/p>\n<p>(A) All costs, charges, and expenses whatsoever which such Director or officer sustains or incurs in or about any action, suit or proceeding which is brought, commenced, or prosecuted against him for or in respect of any act or deed, matter, or thing whatsoever heretofore or hereafter made, done or permitted by him, in or about the execution of the duties of his office, and<\/p>\n<p>(B) All other costs, charges and expenses which he sustains or incurs in or about or in relation to the affairs that of except such costs, charges or expenses as are occasioned by his own fault; and the Corporation consents to the indemnification provided for therein.<\/p>\n<\/div><div class=\"nav fusion-mobile-tab-nav\"><ul class=\"nav-tabs nav-justified\" role=\"tablist\"><li role=\"presentation\"><a class=\"tab-link\" data-toggle=\"tab\" role=\"tab\" aria-controls=\"tab-34015fad310133bd5c3\" aria-selected=\"false\" tabindex=\"-1\" id=\"mobile-fusion-tab-by-law12\" href=\"#tab-34015fad310133bd5c3\"><h4 class=\"fusion-tab-heading\">By- Law 12<\/h4><\/a><\/li><\/ul><\/div><div class=\"tab-pane fade fusion-clearfix\" role=\"tabpanel\" tabindex=\"0\" aria-labelledby=\"fusion-tab-by-law12\" id=\"tab-34015fad310133bd5c3\">\n<p><strong>Article 1<\/strong>\u00a0\u2013 Grants and Subsidies<\/p>\n<p>The Corporation may solicit, receive and use grants, donations, subsidies and other forms of assistance, financial and otherwise, under such terms and conditions as the Board of Directors, by resolution may deem fit, whether such assistance be provided by Federal, Provincial, Municipal and\/or other governmental bodies as well as other sources.<\/p>\n<\/div><div class=\"nav fusion-mobile-tab-nav\"><ul class=\"nav-tabs nav-justified\" role=\"tablist\"><li role=\"presentation\"><a class=\"tab-link\" data-toggle=\"tab\" role=\"tab\" aria-controls=\"tab-6bf16038e63d9b58b1d\" aria-selected=\"false\" tabindex=\"-1\" id=\"mobile-fusion-tab-by-law13\" href=\"#tab-6bf16038e63d9b58b1d\"><h4 class=\"fusion-tab-heading\">By- Law 13<\/h4><\/a><\/li><\/ul><\/div><div class=\"tab-pane fade fusion-clearfix\" role=\"tabpanel\" tabindex=\"0\" aria-labelledby=\"fusion-tab-by-law13\" id=\"tab-6bf16038e63d9b58b1d\">\n<p><strong>Article 1<\/strong>\u00a0\u2013 The Board of Directors may borrow funds, on behalf of the Corporation, from any lenders or lenders, under any conditions which the Board of Directors may determine by resolution, provided however that such borrowing be exclusively for the purposes of the corporation\u2019s exercise of its lawful powers and, providing further that any borrowing shall not exceed five thousand dollars ($5, 000.00) in any unrelated instance.
